These Terms of use (“Terms”) govern access to and use of the websites, applications, and services offered by Edlyst (collectively, the “Services”). By accessing or using the Services, you agree to these Terms and our Privacy policy. If you do not agree, do not use the Services.

Eligibility

You must be old enough to form a binding contract where you live and not barred from using the Services under applicable law. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

Accounts

You may need an account for certain features. You are responsible for safeguarding credentials and for activity under your account. Notify us promptly of unauthorized use.

The Services

Edlyst provides tools to help identify and learn about plants. Identification outputs are probabilistic and depend on image quality, geographic context, seasonal cues, and available reference data. You acknowledge that results may be incomplete or incorrect and should be confirmed when stakes are high—for example land management, health, conservation compliance, or education.

Acceptable use

User content

You retain ownership of content you submit. You grant Edlyst a worldwide, non-exclusive license to host, process, display, and adapt that content solely to operate, improve, and promote the Services—consistent with our Privacy policy. You represent that you have the rights needed to grant this license.

Intellectual property

The Services—including software, branding, documentation, and curated botanical compilations—are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from our proprietary materials.

Third-party materials

The Services may reference names, images, or data from third-party sources. Such references are for informational purposes; third parties are not responsible for Edlyst unless separately stated.

Disclaimer

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the fullest extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, Edlyst and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising out of or related to your use of the Services. To the extent permitted by law, Edlyst’s aggregate liability for claims relating to the Services will not exceed the greater of fifty U.S. dollars or the amounts you paid Edlyst for the Services in the twelve months before the event giving rise to the claim.

Indemnity

You will defend and indemnify Edlyst against claims arising from your misuse of the Services, your content, or your violation of these Terms, to the extent permitted by law.

Termination

We may suspend or terminate access for conduct that violates these Terms or creates risk. You may stop using the Services at any time. Provisions intended to survive termination—including disclaimers, limitations, indemnity, and governing law—will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules, unless mandatory local law requires otherwise. Courts in Delaware have exclusive jurisdiction for disputes, unless applicable law grants you non-waivable rights to sue in another forum.

Changes

We may modify these Terms from time to time by posting an updated version. Continued use after changes take effect constitutes acceptance. If you do not agree, discontinue use.
